Terms of Service
1. Acceptance of Terms
By using ProspectIntel — including creating an account or subscribing to a plan — you agree to these Terms of Service. If you do not agree, do not use the Service.
2. Service Overview
ProspectIntel provides AI-generated prospect, sales, and marketing content — including automated, agent-driven workflows — through a web-based platform, and offers optional integrations with third-party services such as CRM platforms. Access is plan-based and varies by plan level.
3. Fees, Credits, and Billing
Access to ProspectIntel is offered through free and paid plans. Paid usage is billed on a usage- and credit-based model at the rates set out in your selected plan or order form. By subscribing or purchasing credits, you authorize us and our third-party payment processor to charge your designated payment method for all applicable fees, plus any taxes.
- Credits. Credits are prepaid and are consumed as you use the Service, including AI generation and data-enrichment features. Except where required by law, credits are non-refundable and may expire as stated in your plan.
- Usage records. Our usage and metering records are the authoritative basis for billing. We may correct billing or usage errors, including retroactively, and reconcile your balance accordingly.
- Free tier and limits. Free plans are subject to usage limits, budget caps, and fair-use and rate limits. We may suspend, throttle, or require an upgrade if you exceed these limits.
- Third-party costs. Some features rely on third-party artificial-intelligence and data providers. Their pricing, availability, and terms may change, and such changes may be passed through to you.
- Changes to pricing. We may change our fees, rates, plans, or credit values. For paid plans, we will provide at least 30 days' notice of material pricing changes before they take effect. Continued use after the effective date constitutes acceptance.
- Payments and refunds. Fees are charged in the currency stated at checkout and are exclusive of taxes, which you are responsible for. Except where required by law, payments and used credits are non-refundable.

4. AI Content Disclaimer
All content is generated by artificial intelligence — including autonomous agent workflows — based on a combination of public data, licensed third-party sources, and customer-provided information. You acknowledge that:
- Content may contain inaccuracies or be outdated.
- No human reviews or verifies output before display.
- You will not rely on content for legal, medical, financial, or high-risk business decisions without independent verification.
- ProspectIntel assumes no liability for how you use the information provided.
5. Data Sources and Prospect Information
Prospect data may include names, emails, and roles of individuals inferred or compiled from publicly available sources, licensed third-party data providers, and corporate knowledge bases provided by customers. You agree to use such data in accordance with applicable laws (e.g., CAN-SPAM, TCPA, GDPR, and applicable state privacy laws) and acknowledge your sole responsibility for compliance. We apply technical and organizational measures, including logical segregation of each customer's data, to protect Customer Data; however, no method of storage or transmission is fully secure.
6. Intellectual Property
All platform content, design, and technology are owned by ProspectIntel or its licensors. You may not reproduce, reverse-engineer, resell, or exploit any part of the Service without prior written consent.
7. Restrictions
You may not:
- Use the platform for illegal or unauthorized purposes
- Interfere with the security or integrity of the Service
- Attempt to extract or scrape data at scale
- Circumvent usage limits, budget caps, or billing controls
- Use ProspectIntel for harassment, spam, or unsolicited communications
8. Integrations and Exports
The Service may let you connect third-party services (for example, CRM platforms such as Salesforce) and export reports. When you connect a third-party service, you authorize the exchange of data between that service and ProspectIntel, and your use of it remains subject to that provider's terms. You are responsible for maintaining the security of your connected accounts and for securing and lawfully using any exported or synchronized data.
9. Changes to These Terms
We may update or modify these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by posting the updated Terms with a revised "Last Updated" date and/or notifying you by email or within the Service — at least 30 days before they take effect, except where a shorter period is required for legal, security, or fraud-prevention reasons. Non-material changes may take effect when posted. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may cancel your account; treatment of any prepaid, unused credits is described in Section 3.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service.
